The hard part of this question is that I have feelings for her and she told me she has feelings for me also. How do I tell her withoout her thinking that I am doing it to break them up. I want her to be happy and I just think he is taking her from her friends because she isnt happy with him and he thinks if he is all she has than she will fall for him again. She also told me that she is not in love with him but she thinks he deserves another chance until he screws up. I just dont know how to approach this. HELP

Sorry, but love puts blinders on. Just bite your tongue and let her live her life. Hope for her that this is a great move for her, but be prepared for the bad. And that doesn't mean be prepared with 'I knew it' or 'I told you so'. But give her a strong shoulder to lean on and ears that will listen.
