By looking at their bios and stuff, I think it's a eulogy for Gerard's grandmother, Elena. She was very important to him, and she died and he was sad and depressed. If you read the lyrics without thinking about it as a song it reads like a eulogy too. But I'm not sure how to confirm that. If you do a Google search on "song meanings" you'll probably find a site where you can just type in the song name or artist and it will tell you.

Elena "Helena" Lee Rush was Gerard and Mikey Way's late grandmother. She taught Gerard how to paint, draw, sing, and perform. She also bought MCR their first van. The band tried to pay her back the money she used to get them the van, but she would not accept it. After her death in 2003, Gerard came up with the song "Helena" in her memory. If you want more or better info then from what i know, e-mail them at write@mychemicalromance.com

"Helena" is the second single from My Chemical Romance's 2004 album Three Cheers For Sweet Revenge. The lyrics describe lead singer Gerard Way's feelings for his late grandmother, Elena Lee Rush (friends called her 'Helen', and because of this, Way always thought of her as "Helena"). The single has become a best-selling hit, both in the US and internationally.

Its gerard and mikey way's grandmother that died. Her real name is elana lee rush and the song is dedicated to her and the three cheer for sweet revenge record is also dedicated to her. In the song gerard speaks to her by saying:
Can you hear me?
Are you near me?
Can we pretend
To leave? And then
We'll meet again.
When both our cars collide
