Top soil is generally thought of as the top 6" or so of the planet. It's the stuff you see scraped up and pushed in a pile off to the side of most any excavation for a basement or footing for new construction. It has most of the humus and nutrients in it that plants need to grow and is generally a nice dark brown color. Fill dirt is usually considered to be the stuff below the top soil. It ranges from a clay mix to sand and goes quite deep. Top soil is generally quite a bit more expensive than fill.

Fill soil is used to fill in large areas....... such as back-filling against a foundation after one has been installed. Clean fill is basically as good as topsoil. Topsoil is the final layer that's laid down on a building lot to get grass to grow. Grass is grown in topsoil. Topsoil will be more expensive than fill soil because it will be screened free of large stones/pebbles. That process causes it to be more expensive.
