Australia is more or less diametrically opposite the United Kingdom on the globe, and can therefore be considered to be "under" the UK. Not sure where the "down" came from, but a couple of hundred years or so ago criminals were shipped off to Australia rather than imprisoned in the UK. A common expression for somebody who has been sentenced to prison is that the judge "sent him down" (meaning to the cells in the basement of the court room, prior to being transferred to a prison), so "down under" makes some sort of sense in relation to Australia.
