The software ICS in Windows shipps with Windows itself, so you have it, TCP/IP networking is also there, configure it according to what a typical home network uses (becareful it is not related and should not touch the dialup settings)
Get the hardware first: 2 network cards, wires, and since routers are cheap nowadays, get 1 and disable its broadband outgoing port and anything you see in it. The thought of cross-wiring is more straight-forward, but if the local custom shop is blackhanding your wallet ditch that thought and go routers alternative.

You need a crossover cat 5 cable, or two regular cat 5's and a hub, the knowledge of how to set up (configure) a home network (or just the inginuity) and finally the common sence that DIAL-UP SUCKS ON ONE COMPUTER! WHY IN THE NAME OF SANITY WOULD YOU SPLIT IT TO TWO COMPUTERS !?!?!?!?!?!?!?!!!....
