As many people have already pointed out, IF they are in the city, Magneto has a definite edge. However, if Spidey has the foresight to start their fight outside of the city, then he can just web Magneto to the nearest tree and start slapping him! I don't think that magneto could mess up his danger sense, because it is supposed to be psionic, not electromagnetic. And I don't know if Magneto is able to control the flow of blood into someone's brain because of the iron in it. I think Spidey would want to avoid a fight because he has gotten into enough fights with people trying to blind-side him. IF he was fast enough and his danger sense gave him enough warning, and IF he could trick Magneto into following him out into the countryside (web-swing from the California redwoods...?) then Spider Man would have a good fighting chance. Magneto is powerful but he relies on his one big power too much. He's not a good hand-to-hand man or long endurance fighter.

Actually they did fight each other during Acts of Vengeance, Spiderman had the edge because he just got Cosmic Powers from Captain Universe, normally though, he'd be crushed by Magneto.

Magneto would be convinced that MJ is a mutant and thus would kidnap her and try to use her to take over the world...( Creating another X-men movie) he would accidently kill her, giving more angst to Peter Parker who finally got the girl in the last Spiderman movie. (The End) *You can bill me for the script later(LOL)

I think Magneto is way out of Spidey's League... Spidey likes the city, and there is too much metal around, plus the metal in Spidey's blood could be used against him....
Spidey would have to blind-side him...
