For a complete cover; Most cities allow you to use 3/8 gypsum board right on top of existing ceiling. Just make sure that you remove any weak spots and apply construction adhesive.
For a patch or partial repair; Use Gypsum or plaster to fill the the holes after youve removed as much weakend and compramised material as possible.

Errr, ahh, what kind of a ceiling do you have now? If it's a drop ceiling with tiles on a grid system, you can replace the old tiles with new ones. If your ceiling is made of dry wall, you can skim coat it with dry wall compound, sand it and prime it and paint it. Anything else, you have to rip it out and start from scratch with dry wall or drop ceiling.

You need to add some details: What kind of ceiling do you have now? Is it painted plaster, drywall, sprayed "popcorn", acoustic tile on drywall, or suspended acoustic tile?
Depending on the type, the answer in general is "remove the old stuff, and apply something new". But in some cases, you can just apply something new over the old stuff.
