Age and position.

Most college professors are going to be older than their students. The exceptions are non-traditional students, and professors who went straight from going to college to teaching in one.

A professor is in a position of authority, no matter how you look at it. It's far too easy for that position to be abused, or for the appearance of abuse.

Just don't go there. I don't know if you're a student or a professor; I certainly hope a professor wouldn't have to ask a question like this!!

1. It may be seen as a conflict of interest, particularly if the student is in the professor's class. It would look like the student is exchanging sexual favors for good grades.

2. Given the authority of the professor in the school, it would look like an unequal power distribution in the relationship.

Same reason dating the boss isn't a great idea. Business and pleasure don't mix. A nasty break up could destroy someone's future and also an unfair or the perception of unfair advantages could be argued. Say The teacher's pet gets the only A on a test in the class. That isn't going to sit well and could be a potential problem.
