Spiderman is stronger and faster and can immobilize batman with his webs.
Batman is just a regular human with fancy gadgets and he is good at martial arts.
In hand to hand combat, Spiderman would win.
Batman may be able to win if he uses his gadgets and outsmarts Spiderman.
I give the edge to Spiderman.

Spiderman. Spiderman has superstrengh, agility, speed, spidersense, webbing, etc. Batman is tough but he's not as fast or strong as Spiderman. They probably are even in the brains department as well. Its Spiderman in a landslide.
