Your mobo came with a "knockout" panel, a thin piece of tin with holes in it. That was made for your mobo. The one that is in your case now should be easily removed with a flat blade screwdriver or a pair of pliers. The new one should pop right into the hole that is left. This panel should be installed BEFORE you install the new mobo. Be careful lining the mobo ports up on the panel, those small tips sometimes end up inside the ports. You'll have to realign the mobo several times to get it right.

Depends on the case you have.
First, remove your motherboard, so it doesn't get in the way. Secondly, most backpanels can be removed either by removing a couple of screws or by simply pressing them out of the system their clicked in to. If neither works, your case won't allow for motherboards with different backpanels, so you'll have to do some measuring and saw the holes besides the existing holes. Results however are often far from pretty.
