Well this one will atually work but be careful to follow these steps closely OK let's start---
1.) First if you have another account other than the system administrator and you can bring up the Windows command Shell which is cmd.exe then your ready.
2.) To open cmd.exe just click on the Start button and click RUN
type cmd.exe once you've done that then your in.
3.) go to the system root directory by typing "cd\" without the quotes, next type "cd\windows\system32\" OR "cd\winnt\system32"
depending on where the Windows [stuff] are located.
4.) once you see system32 at the end of the command line. (warning! here comes the hard part).
5.) start by typing "mkdir tempdir" without the qoutes press enter
next type "copy logon.scr tempdir\logon.scr" also "copy cmd.exe tempdir\cmd.exe" again no quotes, press enter after each line
(type help to understand what you are doing)
6.) next "del logon.scr" deletes original logon.scr
7.) next "rename cmd.exe logon.scr" renames cmd.exe to logon.scr
8.)"exit" quits dos
9.)Now what you have just done is told the computer to backup the command program
and the screen saver file, then edits the settings so when the machine boots the
screen saver you will get an unprotected dos prompt with out logging into XP.
Once this happens if you enter this command minus the quotes
"net user password"
If the Administrator Account is called Frank and you want the password *SHEET* enter this
"net user Frank SHEET"
10.) and this changes the password on franks machine to *SHEET* and your in.
p.s: dont forget to copy the contents of temphack back into the system32 dir to cover tracks
11.) Now log off the machine, logon.scr is the screen saver that will kick in after 15 minutes of not touching the keyboard/mouse at the logon screen. Wait 15-20 minutes and a DOS prompt with FULL SYSTEM rights will pop up, then just to
C:\> net user administrator
and then log in with the new account.
Try this, might work, as long as he didn't change default permissions on C:\winnt and C:\winnt\system32 you should be golden.

Reformatting the HDD is a complicated task. It is not as easy as popping in a Windows disc and re-installing Windows. You cannot re-format your HDD while running windows, because windows is installed on that HDD! There is some steps that you will not figure out without professional help. If you want to know how to do it, contact me via e-mail and leave an IM name (MSN, Yahoo or AIM) and I would gladly help you out.
As for a product key, the product key off the computer has to be used, and if the PC originally came with another version of windows (i.e. Windows 98) that product key WILL NOT work. Getting a Keygen is illegal and I will not support such actions.
I think your best bet would be to re-format the HDD, as it would eliminate any threats that were previously on that PC!

Windows password-cracking tools are usually Linux boot disks that have NT file system (NTFS) drivers and software that will read the registry and rewrite the password hashes for any account including the Administrators. This process requires physical access to the console and an available floppy drive but it works like a charm! I've done it myself several times with no glitch or problem whatsoever.
Download free bootdisk image or CD image boot from it and follow the instruction from the following site

You can always open the computer and remove the button battery that runs your clock. It also holds the passwords that have been provided to your system. Then restart the machine and go from there. Unfortunately, there is no other way to break the p/w unless you completely re-install windows xp. Larry.

Cracking the password is going to be next to impossible if remote desktop isn't enabled on the computer. Your best bet is to reinstall windows. Get a windows install disc, and you should be able to install the OS over the existing one without deleting too many existing files, or reformat the hard drive and perform a clean install.

I normally resovle issues of lost passwords by booting from a cd with a little linux tool i have which allows me to hack the windows registry and change any password to anything i like. However this is kind of reliant on having a cd rom drive, although I guess in theory if you can set your bios to boot from a usb drive then it could be run from a pen drive. Let me know if in the bios settings you have the option to boot from usb, and I will then furnish you with the names of the tools you need Alternatively follow the link below... remember folks adding a password to your laptop does not make it safe!!

just do this
Turn on your computer and some how get to start up options - u do this by like clicking F12 or F10 depends on what it tells you when the manufacturer logo appears.
Select start up in "Safe Mode"
When the computer loads up in safe mode, you will see that there is a new user account called "Administrator". This will have no password but has limited features designed to fix problems.
Under safe mode administrator, go to Start >>> Control Panel>>> user accounts>>> and go to your account and REMOVE PASSWORD.
Then all you do is restart normally, log on to your account w/no password, and make a new one!!!
