Can I do that even if I start a Co. in CA? Do I have to have an office in DE in order to do so?

There are several reasons to incorporate in Delaware. One is that it is more favorable to corporations than most other states. Another is that most corporate law comes out of Delaware -- so there will be precedents for most legal problems you face. Two other reasons are that it is easy to incorporate there and it might lower your taxes.

You do not have to have an office in Delaware. It doesn't matter which state you start your business in.

About ten years ago, I did some consulting in NYC. I had to incorporate to get paid. I did it in Delaware. It was easy to do. There is a company called "The Company Corporation" that sped up the process for me. I used them because it was only a six-month gig and I didn't want legal expenses. If your company is larger, you should probably use a lawyer to incorporate. But this web site (listed below) might give you some insight into what has to be done.

See the website below for reasons as to why incorporate in Delaware. You may also want to check into incorporating in Florida. Many business entities prefer to incorporate in Delaware, Florida or Nevada. A physical location in that state is not required.
