Your ex-employer absolutely has to pay you for un-used vacation when you are downsized. The only exception to that rule is if it was vacation the company says had to be taken by a certain day in the year, usually around April. In that case, if you didn't take it, it's gone. All other vacation earned at downsizing time is owed to you though.

Sure...breach of contract. Vacation time is considered compensation, and as long as you can show that your vacation was part of your employment agreement OR if there are other people at your company that do your same job that receive paid vacation you would have a case in court should your emplyer lay you off and not pay out the value of your vacation time.
