Yeah, I just got a new motherboard and processor, and windows does not boot properly. I'm figuring that the chipsets on your new motherboard is different to your old one, and when windows tries to activate your old motherboard's chipset drivers, it crashes and automatically restarts, making an endless loop.
A repair installation replaces those chipset drivers with universal ones, or the one specific for that new motherboard, so that you could actually boot off the hard disk with the new motherboard.
To do a repair installation, pop in your Windows XP CD, and boot off it. (When it says "Press any Key to boot off this CD," well, you better press a key.....")
After you wait a long time, you will have a choice to "Setup Windows XP now", "Run Recovery Console", and mabye something else. You will select "Setup Windows XP now", and then agree to the License Terms. (If you don't, well, shoot yourself now) Then, select your XP partition (there's probably only one) and then push R to commence Repair Installation Of WINDOWS. Then all you have to do is to follow the instructions, and then hopefully, VOILA!!!! you have a working machine again. Good Luck!!!!!!!!!!

Windows XP Repair Installation
At some point you may need to repair the installation of Windows XP. This is preferable to a clean install in many cases since it attempts to only repair your copy of windows without having to delete all the files on your computer first. In many cases a repair installation is enough to fix the problem. A repair install deletes the files normally installed by windows XP and then reinstalls them off the disc. A repair install will not rebuild your computer's registry, delete applications and user settings, or fix problems caused being caused by a program.
1. First you have to boot the computer with the Windows XP cd in the cd tray. You will see a black screen and it will ask you to press any key to boot from the cd so press the spacebar and your computer will boot from the CD.
2. After a moment you will be taken to the Windows XP Setup screen. Though the second option says to repair do not press R. Instead press enter to select the setup for Windows XP.
3. Next, you have to accept the license agreement from windows. Once you've done that it will search for your existing installation of windows.
4. Once it has finished detecting the installation you need to select the XP installation you want to repair. You can repair the installation by pressing R. If you don't see the repair option you will need to do a clean installation. Your version of windows may have been damaged in a way that it cannot carry out a repair.
5. Setup will then copy the files it needs to the hard drive and reboot the computer. A message will come up asking you if you want to boot from the cd, don't press any keys and just let the timer run out. The set up will continue and look like is doing a clean install but all of your applications and settings will be intact when it finished.
An important note is to not activate your windows over the internet right away. Always enable the XP firewall to protect yourself.

a windows repair also known as an in place upgrade should be done when replacing the mobo.
you will need your OS cd.
put the cd in the cd rom reboot the pc
hit any key to boot from cd when prompted
you will get to a part that asks you if you want to install or repair windows
choose repair
then it will ask you if you want to use the recovery console or if you want windows to repair it for you
choose windows repair
the computer will do its thing it will reboot then it will do all the same things it does as if it was reinstalling the OS but its not.
this will take some time to complete
once its done you should be all set

you have to boot from the windows xp disk you used to install with, the firwt time it asks you say install, the second time it asks you say repair.
It will most likely want you to reactivate your copy because of the amount of hardware change

if you want to do a copy with your hard drive you van use a program named driveCopy from paragon software

or try to backup your file in a compresed version on the dvd with NERO
If your problem it is to recreate the boot sector use the system recovery console and type
You can boot from startup floppy disks or CD-ROM, choose repair option during setup, and run Recovery Console. When you are logged on, you can run FIXBOOT command to try to fix boot sector.
