is winxp is able to detect it, if yes, then run the command by going to start menu-->run--> and type cmd and press enter. in the command prompt type, format k: (where k is your pendrive drive name) and press enter. you will be able to format otherwise boot your system from any bootabel media like cd or floppy and repeat the same command, be carefull don't specify any other drive name other wise you will completely loose the datas.

there is a another option called computer management in windows XP, u can access the computer management by rightclicking the my computer and select the manage, in the computer management wizard select the disk management, u can see all ur hard drive in the screen, in that simply select ur pen drive and format it.

maybe your pendrive is write protected ? so u can't format it..

if not write formated i sugest that u are using partition magic to format it. coz sometimes XP can't format mobile devices..
