One reported answer is that he wasn't happy with the pay offer, but I think there are are some more accurate answers;
1. Shearer is acting as an unofficial scout/ambassador for Newcastle United. For example, in the next month or so he is due to go on a promotional visit to SE Asia, to develop business and club contacts for Newcastle.
2. Shearer is going for his official certificates which will allow him to coach/manage a club. Everyone knows that Shearer is the Newcastle United manager in waiting.
3. Shearer is a canny fella - he doesn't want to be associated with the new manager who, after his chummy relationship with Sven, is seen by many as 'damaged goods.'
4. He's still doing work for the BBC - but, really, I think it all boils down to the fact that Shearer's loyalties and ambitions are focused on the club he has supported and adored since he was a kid playing for the Wallsend Boys Club.
