listening requires understanding. You make use of your mind and sense of hearing. Hearing requires you to listen even without understanding. You also make use of your sense of hearing. Just a sound of an airplane or anything that makes sounds to your ears is hearing.

You can hear a lot without listening for it. Even a conversation can be a rustling sound off somewhere. You know some people are talking, but you have no idea what it's about or even what language they may be speaking. But start listening, and now you can hear what it's about, ot whether it is another language.

To put it simply: Hearing is a physiolgical process. Listening is an active psychological process in which you attach meanings to words. Words are just symbols, so the meaning you attach is based upon your experiences and what society says that word means. True listening is the central conduit in the communication process and without listening to a person, it is impossible to communicate with others effectively.

both are means of receiving an auditory stimulus
listening involves active thought about the stimulus - processing what has been said, or what that noise was about ... involves more neural activity than hearing
hearing is what happens when the sound gets to your ears, is converted and carried to your brain.
have you ever heard something that caught your attention, and then you listened to it again ... and it wasn't what you thought it was?

Hearing means that the oral communication was delivered to you, and is passive on your part; listening is active on your part and means you processed the information.
