Actually the difference is historical. For example, in New York State all counties are broken into cities regardless of size and/or poulation. This is an English tradition. However, on Long Island (a part of New York State) the counties are broken into Towns. This is because we were settled by the Dutch at first. The Town names stuck - Town of Oyster Bay, Town of Hempstead, Town of Babylon, etc...

Each town is then broken into neighborhoods.

New York City however is an exception. It is a 'city' made up of five counties.
