First off, how strong is your relationship between you and your best friend- from your question, I take it to be strong, and if you have not done anything with her, then it may be strained. But, seeing that she asked you, we'll say she is kinda into you somewhat or more, so it should survive from that...
Now, the boyfriend thing can be either a test of him to see if he strays after you three hook up, or it can be a reward for him in that the fact he gets two women at once...
You need to know ahead of time, and discuss it as "adults", the limits of contact when you are all hooking up- such as you and her are good, her and him are good for everthing, and you nad he are good for what- kissing/playing, oral or full contact. It may sound funny, but if you understand that, you know how far you can go and there not be reason for bad feelings later. Also you might disuss this being a one time deal for now, and in the future it would have to be discussed again- again, for no hopes up and a boundry established...
Once you get the limits and expectations out fo the way, as long as you are comfortable with the idea, then try it and enjoy it!

Looks more like her bf wants to lay you than she wants you or she is trying to prove to him that she is better than you. This threesome sucks. If you really fancy her, do it with her only. Forget about him. Your relationship with her will stay very much longer.

I'm almost wondering if your friend isn't doing this to see if her boyfriend is going to be unfaithful to her (or if he wants to).
