First off let me say it will be a close one, take away Cap's super soldier serum and Batman's gadgets then we can talk. Both stand by their beliefs to protect what is right I give Batman a slight edge alot will disagree he will do whatever it takes to get da job done except kill somone. Remember Batman doesn't have powers but is da most dangerous between da two.

In days past I would have said Batman because of his intellect and tactical expertise, but since Ed Brubaker has taken over the good Captains book I would have to say this would be a fight that could go on for days. In case anybody hasn't noted the Sentinel of Liberty has a new attitude and will do what it takes to get the job done. It is quite possible that he could even get help from S.H.I.E.L.D.

Cap not only has the Super-Soldier serum, but he has tactical skills due to his military combat experience, his battles against major super-villains, and his constant training solo and with The Avengers. While Cap's only material weapons are his chainmail costume and vibranium shield, he is still an expert hand-to-hand combatant as well. Bats is great, and while he's in top physical shape, is intelligent, and uses gadgets, his abilities are not as good as Cap's. Also, Cap has a big heart whereas Bats is a bit colder.
