I am joining another compan in India so i need to transfer to that company in another city! Can anybody pls tell me how i can do this? What are the procedures? do i need fresh visa?

Assuming you are an American Citizen, you do not need a fresh visa unless you were sponsored by the first company that you worked for. You have two choices. You ask the new company to get a clearance for your work and stay status. Second call the American Embassy in India(Delhi) to help you. If you are not near those cities you may ask the American Consulate office closest to you. Best bet is to visit them and ask for their help. Indian laws are at times very archaic when it comes to foreigners working in India.
A word of caution is that the first employer who hired you can be a road block if they want to be. They also can complain to the ministry of labor and you need to walk this carefully.

Best practical course willbe to
(i) seek "No objection certificate" from old employer
(ii) seek guidance from local embassy reg. visa
Better to play safe.

contact any of the higher officials and get instructions from them.. usually they will give u a form to fill up i.e., the transfer request form
