Reason to stay: I can't find another job that lets me be this lazy and pays me this much money. Period.
On the other hand, my boss' boss is coming in at 9 and leaving at 3 every single day, and while he is here he is busy trying to sell the company off to another company (former competitor, but not really competition now that we are getting out of that business). He is making no effort to hide this as he doesn't even close the door when negotiating (I could quote the exact dollar figures if I wanted to here). My boss asked if he will have a job after his upcoming two-week vacation, and was told that, even if the sale goes through, there would be a transition, and it would take until March of 2007.
Resumes are going unanswered. I'm on the brink of panic. What should I do?

You dont really want to stay in a job that doesnt let you use your skills and be under utlized! Money is great but if it was everything then you wouldnt even be asking the question.
Sounds like you have some time to find another job and that you should. Have your resume done professionally, check out the job websites such as monster.com. Send resumes to people that aren't advertising, your resume might hit the desk at the right time and dont forget to network! Something will come up, it just mgiht take awhile.
Take this opportunity to figure out exactly what you want to do with your career, maybe go back to school to take courses, if you arent busy during the day, you might be able to study at work.
Hope things work out for you, its no fun to be bored, makes for a very long day

Well it sounds like a couple of different questions. If you are entirely unsatisfied, which people who are not challenged typically become, then maybe you should keep pursuing other options. You are much more likely to get something through friends/family these days--use your connections or make new ones.
On the other hand, if your company gets sold, and there is a reorg. there are two possibilities than can work in your favor. One is it becomes a better place to work, so you stay. Two is you get "reorganized out" of the new organization (laid off or eliminated). That sucks at the time, BUT it gives you a severance, eligibility for unemployment and a good reason to have left when you are interviewing for new positions. Talk about money for nothing...
I have known people in your situation to take online classes (or evening classes and study during the day), do some type of online work, etc. to take advantage of the situation.

Start looking. The last thing you want is to be caught off gaurd. Your boss is obviously trying to sell the company, which means sooner or later, you will be out of a job. I totally understand you on the lazy part but this might be the best time to learn something new, make a new friend for a reference, and start interviewing. Your jobs is already doomed, the question is will you be preapred or caught off guard? You already know whats going to happen (and even when, approximately). Abandon Ship!

I would stay until I find something better. Possibilities are that the company buying this one could keep you on. BUT it is not true that they have to keep you on or give you a severence, unless there is a contract. They can let you go for any reason. These people are not stupid they know how to find reasons. Just keep your eyes open for now until you find something else, you have to be a little patient. You can be for now since it doesn't seem as anyone else has bought this company YET.

Definitely stay with the job. If you stay there until whatever goes through, it will show you have loyalty and longevity in a job. The next employer may view this as a good work ethic that he is looking for in his employees and will hire you.
If you still feel that you want to bail out, keep looking. Something will fall into your lap when you least expect it.

Stick it out. If the company does sell, the new company has to keep you on if there is no good reason to let you go or else give you a severence package.

Why don't you keep looking for something else? At least for now you have an income while you're looking. From what you wrote I don't think your work is very stimulating and there seems to be quite a lot of negative energy around there. We spend so much of our lives at work, it better be for more than cash... .

Send out your resume. Critic it over and over. Let others read it. A cush job making big bucks is nice. The unemployment line is horrible. Broaden your horizons, especially if you feel your job is not secure.
