I am sorry for your loss. This is the standard phrase. If you have fond memories of the person, you can relate them and then say he (or she) was a great person. Let them cry, if they do. Stay with them a few moments and then say, I know, I know. It makes us all sad.
It is nice that you want to know what to say. The survivors always need someone to share their grief, to make the burden easier to bear.

Hi there,
When someone dies, the best thing to say to his relatives and
close friends is to tell them your happiest memories of him/her.
You can say something like, "He enjoyed so many great days
with me swimming at the lake," or "I know how proud he was
of having such a wonderful family as yours," or
"He always said he was so happy to have travelled to Paris at
least once in his life."
These kinds of answers give the family and close friends the
comfort of knowing some of the joys of that person's life.
If you have copies of any personal photographs from your visits
with him, that will probably make the family and close friends
happy too.
If you think it is appropriate, you can also make a philosophical
remark such as "I do believe that he is watching over us today,
and he is smiling upon us." Or say, "I do believe that we all
come back to this life again, and so shall he."
Say, "I will pray for him and for you."
Offer hugs and warm smiles.

friend's dying!

you don't need to say anything but sorry for you loss is always appropriate. i think they get sick of hearing that from people they hardly even know.

whatever you say is fine , since they are not listening...most of all please don't say I know how you feel unless you've been there recently...just be there and ask them what you can do to help to get them through this time...they will appreciate that a lot more.

you know, sometimes, we just dont have to say a word for them to feel our sympathy for the loss of a love one, a hug or a pat at the shoulder will speak a lot....
