FAT32 gives you more space, NTFS gives you security, now choice is yours :) you might consider reading this

Good day to you. NTFS (new technology filing system) Not only is it good for security. How about the fact that NTFS supports partitions as large as 2 terabytes? How about built-in-compression and encryption capabilities that enable you to conserve disk space and secure files against prying eyes. How about support for disk quotas--a method of limiting the amount of disk space a user can use...ETC ETC I would go on but you get the picture now. SIDE NOTE: Fat and fat32 will work well on 200 and XP

It is recommended to use NTFS for 'higher' OS like Windows XP, most especially if you have large hard disk space (and don't want to cut into partitions).
It is not recommended if you have just Windows 98 and not so fast laptop...
For you info, if you're on FAT32 you cannot see data on NTFS. But if you're on NTFS drives you can see data on FAT32 and below...

NTFS is better than FAT32 and is the new files system from MS. MS no longer uses FAT, all their new OS default file system is NTFS only. It has got much strength in security wise, file access wise and stability wise. It support compression and folder/file level security.
But older OS like Windows 98 /Me support only FAT. So if your PC is installed with more than one OS that support only FAT, you may need FAT to share the drive across the OSs. But if you use only 2000/XP or later OS, use NTFS.

FAT32 isn't used much anymore. NTFS is the way to go.

first u need to identify u r needs... do u want more space or more security?? if u need more space then go for FAT32 if more security then go for NTFS.
