It's not bad. I think it has such a bad rep because the first two were incredible. If you watch it expecting the "magic" of the first two, it just isn't there.

I think the reason Godfather III is considered a flop of sorts is because it is compared to the first two movies, which were so amazing. Compared to those, number 3 is not great, but on its own, it is a pretty good movie. I think it would be hard to live up to those; Coppola probably should have left MIchael alone, contemplating his choices and the state of his soul at the end of Godfather II. Instead, III tries to sort of wrap things up, and does, but it is just not as satisfying. Good movie, worth seeing though.

Part III is . . . interesting, but on balance I wish it had not been made. Andy Garcia is great. Sophia Coppola, the director's daughter, is the WORST actor or actress I have EVER seen in a major motion picture. She always reminds you it's just a movie, and you don't BELIEVE she is anything but the director's daughter filling in. (Wynona Ryder was sick and bowed out.) The story is OK too, but muddled.
I and II were complete as they were. Read Roger Ebert's reviews for an idea.
It's not awful, but just a disappointment. Nowhere near as good as the first two. Like a TV movie or something. See it once just to decide for yourself.

You cannot watch part 1 and 2 and not watch 3. It is like a rites of passage.

Here's why most of your other respondents didn't like Part III.
Parts I and II were largely based on the book by Mario Puzo. It was a good book and two good movies were made from it.
Part III was an afterthought. It had nothing to do with Puzo book, even though he wrote the screenplay. The book and the two movies from it were like a complete story; the third movie was like a sentence fragment tacked on to the end.

Godfather 3 is a must see if you have seen one and two. It is a great film if you are willing to watch it without expectations of it being like one and two. It cannot be compared. If you leave out comparisons it is very enjoyable. Al Pachino gives an amazing performance. If you watch it on DVD, you can also listen in to the commentary by Coppola.

One of the greatest sagas in movie history continues! In this third film in the epic Corleone trilogy, Al Pacino reprises the role of powerful family leader Michael Corleone. Now in his 60s, Michael is dominated by two passions: freeing his family from crime and finding a suitable successor. That successor could be fiery Vincent (Andy Garcia)... but he may also be the spark that turns Michael's hope of business legitimacy into an inferno of mob violence. Francis Ford Coppola directs Pacino, Garcia, Diane Keaton, Talia Shire, Eli Wallach, Sofia Coppola, Joe Mantegna and others in this exciting, long-awaited film that masterfully explores the themes of power, tradition, revenge and love. Seven Academy Award® nominations, including Best Picture. [source: Paramount Pictures]

The Godfather, Part III (1990) is the third film in the Godfather trilogy. It completes the story of Michael Corleone, a Mafia godfather who tries to legitimize his crime empire. The movie also weaves into its plot a fictionalized account of real life events — the mysterious 1978 death of Pope John Paul I and the Papal banking scandal of 1981-1982 — and links them with each other and with the affairs of Michael Corleone. The film stars Al Pacino, Diane Keaton, Talia Shire, Andy Garcia, Eli Wallach, Joe Mantegna, George Hamilton, Bridget Fonda, and Sofia Coppola.
The movie was written by Mario Puzo and Francis Ford Coppola, and directed by Coppola.
Unlike its predecessors, Godfathers Part I and II, Godfather Part III was not as widely acclaimed on release, and critics and fans remain divided on its legacy to this day.

The first two are really really good. I didn't like part three myself but i guess its good to watch so you know the ending of the series.
(i think the producers just wanted to milk the franchise for all it was worth)
