The Tick would win.
Honestly I think if they ever did a Tick/Mask crossover the Mask's mask would end up on The Tick. We would then be shown another example of the Spider-man/Venom situation where the symbiont bonds with the second host better than the first. Let's face it The Tick is insane. That is why we love him. The mask releases ones inhibitions. The Tick who while insane loves fighting Evil or at least those he sees as evil. The Tick plus the mask equals near unlimited power. SPOON!

The Mask for one reason, the Tick is easily confused. The Mask probably wins before Tick realizes he's in a fight.

In a fight I would have to go with the Tick. My reasoning is very simple: You can't hurt the guy. Tick is not as clever, nor as flexible as the Mask. But in all honesty, what can the Mask do to the Tick that will even leave a scratch? Tick may be simple, but he'll understand what being attacked is...err...eventually, then he'll fight back. *shudder*

While both are seemingly invincible, the Mask has the advantage due to his ability to conjure any weapon he wants from thin air, he could pull out a knife or a giant gun and the Tick would be stuck with his fists.

No doubt, winner is The Tick. Why? Well for one, he's got the best catch phrase: 'SPOOOOOON!!!!' That and one of his enemies is the Mad Midnight Bomber That Bombs at Midnight (and he said: you have nice legs. and i said: yeah baby yeah they go all the way up!)

the mask would kick tick's as* cause he can do a lot more than using his mascular power.
