Eat healthy, lots of fruits and veggies. Do crunches every day. I do something called 20-20-20. You do 20 crunches to the front, and 20 to each side. Do 2 reps twice a day.
Doing this will help if you are close to having a flat stomach. If you are really overweight you will have to make more drastic changes.

You can do all the sit ups you want but if you have a layer of fat on top of the muscle it's not going to matter. You need to do lots of cardio and cut down on fats and carbs. In ADDITION to the cardio do your sit ups, legs lifts, whatever you desire, but you must get rid of the layer of fat on top. Plus if you have had kids, your stomach muscles can split and make it almost impossible to build up the muscle in your stomach.
