Audacity sound editor. It is available for free from the sourceforge site:

To convert sound files to mp3 formats, you also need to download the LAME encoder file, which is available here:
http://www.webhostxpress.net/%7Emitiok/lame-3.96.1.zip
unzip the DLL file and put it in C: drive or somewhere. When you run Audacity, open your WAV file, then go to File > Export as MP3.. it will ask you for the path of lame_enc.dll, like C:\lame_enc.dll.
It sounds like a pain, but this program is awesome for anyone who wants to convert, edit, and create mp3s and other sound formats.

there are a whole lot of convertors for converting wav to mp3 are available in market as well as internet,just search in yahoo search engine.........!

I use musicmatch player for that. True, it is a tad expensive, but it has many wonderful features and its also a great burning software.
