It doesn't. There is no such thing as a cold bag despite what advertisers might say. It is an insulated bag which slows down transfer of heat from the outside to the inside or in this case from the inside to the outside.
Just as an interesting experiment try and measure wind chill with a thermometer. You will fail but in doing so you will discover loads of usefull stuff to do with heat.

Although it's called a cold bag, designed to keep cold stuff cold, what it really does is maintain the temperature of whatever you put inside it, whether hot or cold - through insulation. Sorry - is this too serious an answer to a fun question? I'm always doing that!

An insulated bag simply prevents the transfer of heat to or from whatever is inside it.
Heat always travels from relatively warm objects to relatively cold objects. When you put your hot fish and chips inside, the insulation in the bag slows heat from escaping from your food. If tomorrow you wanted ice cream instead of fish and chips, the bag would prevent outside heat from entering your ice cream, and stall its melting for a little while.
You wouldn't want to put both in at the same time, however.. as the heat from the fish would rapidly melt the ice cream, and both the ice cream and fish would eventually become the same temperature.

don't think of it as a cold bag think of it as a insulated bad. meaning air inside doesn't get out very easy. so if you put something hot in it... the heat will not get out easy thus keeping the temperature inside the "cold bag" hot. and if you put something cold in it... the "cold bag" will not let the coldness out thus keeping the inside of the bag cold.

The bag insulates the chips so that the heat can't escape, in the same way it insulates your cold things so the cold can't escape.

a cold bag is insulated, so it stops tranfer of heat thru the skin of the bag , regardless what side the heat is, unless it has different surface coatings on one side, like foil on the inside and white on the out. is that any help?

If you called it by it's correct name of "insulated bag" your question would answer itself, ie. the bag is insulated to reduce heat transference, this works just as well keeping heat out as well as keeping heat in. thus if you reduce the amount of heat transferred, you are trying to keep the status quoe.
