It is free to download. How long it takes really depends on the speed of your internet connection.
If you have Cable or DSL, it may take 4 to 5 minutes.
If you have 56k modem, it may take about 47 minutes.
I downloaded the new Yahoo Messenger just yesterday; that's why I remember.

Yahoo! Messenger is completly free, and takes about 3 1/2 min. DSL+, and ~1 hour on Dial-Up

If you mean windows messenger, nothing, and on dsl a bit more then a minute, dial up, a lot more (think half hour, more maybe)
