Because he realized he was surrounded and his troops had not eaten in days and simply were in no condition to continue fighting. The greatest field commander in American history, General Lee simply couldn't whip General Grant with the force of his reknowned iron will. At that, he did manage to obtain astounding concessions on behalf of his troops. General Grant gave the about-to-surrendur Confederates thousands of food rations, allowed the officers to keep their sidearms and personal baggage, and allowed the men who had horses to keep them. Those were more generous terms by far than just about any defeated army in history recieved from the conqueror.
