From the press coverage at the time, as well as bits and pieces I've gained over the years since, it seems that Paul and Michael were discussing investments during their "friendship" period (circa 1985). During one of these discussions, Paul mentioned that his most lucrative investments were those involving the publishing rights of various music catalogs, including some (but not all) of the Beatles' music.
Michael, taking this advice, then went and managed to acquire the publishing rights of somewhere between 159 to 251 songs from the Beatles' catalog - which Paul evidently had been attempting to purchase as well (keep in mind that at this point in time, Mr. Jackson was worth more $$ than Mr. McCartney by far, and so pretty much out-bid him for the music rights).
Paul didn't discover this until 1989, when he attempted to pring the lyrics to "Eleanor Rigby" - only to discover he'd have to pay a royalty to Michael. Feeling that his trust had been abused and that the friendship took a backseat to business in Michael's eyes, Paul then broke off ties.
However, fate appears to have had the last laugh, as Sir McCartney is now worth over a billion $ US, while Michael is hiding in Bahrain. In addition, I also seem to recall reading somewhere Michael might wind up losing those rights anyway, as he's defaulted on a few loans over the past few years.
I hope this answers your questions.

Well that was all a publicity thing when they did "Say,Say,Say, and "The girl is mine". Paul said on t.v.that he said something to the fact like "Congratulations"to Michael and Michael "Said that's the breaks" in a smart alec way. I believe the only reason why Michael Jackson married Lisa Marie Presley is to either have a baby with Elvis Presley's daughter or gain some control of the music.I think he wanted some kind of weird "Superstar" bloodline going. Well Michaels not doing too now,What goes around comes around. I think Michaels gives the impression he's someone who very arrogant and concieted and that's what proably ticks Paul off. Michael's not innocent.

When Jackson bought the Beatles song library catalog that really upset McCartney because Paul wanted it so he could finally have true (sole?) ownership of his songs.
Up till then, the songs were owned by Apple Corp., the company the four Beatles founded to protect their copyrights and business interests.
There is a much longer story involved behind that than I have the room to post here.

because MJ become an excellant businessman and observed an chance to make an excellent style of money that he couldn't bypass up. the undeniable actuality that Michael offered the catalogue did piss Paul off - Michael become now in a peculiar way his 'boss', even if it become made worse with the aid of incontrovertible actuality that Paul idea on account of their friendship, Michael would provide him a royalty enhance - which Michael declined to do. i have no sympathy for Paul although - I propose Paul can fantastically a lot wipe his **** with 100$ charges, he might want to larger than arise with the money for that catelogue even without Yoko Ono's monetary help. It wasn't as if he become interior the poorhouse and easily couldn't arise with the money for it - for inspite of reason he chosen now to not - so by using rights the catalogue went to whomever provided the most important monetary sum.

By going behind Paul's back to buy the Beatles catalog, Michael broke confidence with Paul.
I understood that Paul confided his intentions to buy the Beatle's catalog to Michael and wanted Yoko to partner with him on it. But Yoko didn't want to pay that much for the catalog.
So, while Paul was haggling the price Michael just stepped in and bought it at the asking price.
I believe Paul is mad at the way Michael did this.

Because Michael actually suggested to Paul that he buy the copyright then Micheal out-bid him....if he were a true friend he wouldn't have done that and let Paul buy the rights.

because Paul told MJ that they were up for sale and that he was going to buy the rights, then MJ got them before he did.
