No not any that is legal, if you download it illegally you will not recieve updates leaving you open to bieng hacked, you will also have problems with Microsoft WGA, however they do offer you a discount off legally bought XP if they believe you have an illegal version.
Anyway please BUY Windows XP, if you are on a budget buy home. Stealing the software just harms developers and increases the prices.

There is no LEGAL way to upgrade to XP for free. You want XP, do like everyone else - BUY IT.

No there isn't. If you want a free, modern operating system, look at Linux. Most of the modern distributions (Fedora, SuSe, etc.) support the modern hardware you are likely to have and have relatively simple desktop environments.
