Maximum entropy.
Everything will have moved to a state of total equilibrium.
It is the nature things for energy to move from high temperature area to lower temperature and for ordered states to move to disordered states. This increases the entropy of the universe. After heat death there would no longer be any stars burning, no objects orbiting, or any other source of energy that could be used to do anything.
The universe as we know it only allows for a net gain of entropy, if there is a recycling mechanism somewhere that allows the process to go in reverse we have not found it yet.

the heat death of the universe refers to the state in which all energy contained in the universe has completely dissipated, and the matter in the universe is spread so thinly that new stars cannot accrete through gravitation. At this point the temperature of the universe will be absolute zero.

This could happen under currently understood physics, although the process would take billions and billions, if not trillions of years. Besides, there is a good deal of not quite understood physics that indicates this might not happen.

the heat death of the universe is when the particals of space move so far apart that the particles no longer have any attraction two each other. and if the big bang theory is in fact true than someday in the very very distant future it will happen.

To add to the prior answers, it may NOT happen because, we hope, the universe will contract in the Big Crunch - instead of constantly expanding, the universe shrinks back down to single point again, waiting for the next Big Bang (and rebirth of the universe) to occur.

"Heat Death" refers to the concept of Entropy, which (like time) goes in only one direction (in the inanimate world) and basically states that one day everything in the universe will be at the same temperature and thus - no capability to do work.

The question is not 'can it happen', because we are constantly moving towards a system with greater entropy. The question is 'when will it happen'.

Luckily for us the answer is: not for billions of years
