If I have restricted stock how can I sell it ?

You can't.

You have to wait until the stock becomes vested.

If you have a stock that's restricted, that generally means that there's some kind of legal inquiry or action going on. Since the stock is restricted from trading, you cannot sell it until that restriction is lifted.

FYI, for a stock to be restricted, the company had to have done or is accused of doing something really bad!

You can't really sell restricted stock; this is why it is called "restricted". You'll have to wait for restrictions to end.

You could ask the issuing company to buy it back from you, but it is under no obligation to do so. Normally, when these transactions occur, there is a 30-40% discount to market price.
