I currently have a sm amt of $$ in a share plan... changing job and will have 401K plan...what is the difference?

What's a "share plan" ?? Is that an ESOP? If so, then it depends on the value of the company you're leaving as to whether or not it's better than a 401(k). In an ESOP, you have to have all your money in the employer's stock and there probably isn't a great market for it if you want to sell -- you're stuck with whatever the plan wants to pay you when you cash out. A 401(k) usually has a range of investments you can choose.
