All the others have given great answers, so I would suggest using a combination of their advice and mine. Try taking pictures of her when you and she are out socially, and then show them too her after wards. The old proverb, "A picture is worth a thousand words" is very true. I have lost about 65 pounds since New Years Day, 2004. I keep a pic of how I looked before then in my gym bag for daily inspiration. If she actually sees how she looks, she may respond with the question, "Am I really that big?", which will allow you the opportunity, as her friend, tell her that you have been meaning to talk to her about that.

Why should you tell her that she has to lose some weight? Did she tell you you needed to develope more brain cells? When will people realize that it's OK to be different. It's OK to be a little larger than those poor young ladies that are litterally starving themselves to death to look like what society tells them they should look like. Large people still have feelings, ideas, are still creative, and yes, can even be sexy! Why do you want everyone to look alike?
Accept your friend as she is! Don't make her feel that she is not as good as other people because she is larger! Do you realize that there is probably at least one thing about you that is not perfect either? Probably not.

I know how you feel I wish I could tell some people that..... but the truth is you have to leave it alone it is very rude to tell someone to loose weight

Don't tell her, if you go out for lunch together, get things that don't have a lot of carbs (she'll probably do the same.), and don't get a dessert until you get home!

If she is unhealthy than just tell her straight up. But if she doesn't fit your idea of what she should look like (to hang out with you) keep it to yourself.

why don't you tell her that you want to start working out or going to the gym and if she could go with you...the both of you can exercise and you could be there as support
