you just need to put the CD in and reboot. Make sure your BIOS is setup to make it boot your CD rom first before it boots your hard drive so that it runs the CD first.
Then just follow the setup directions and the Windows XP CD will reformat and partition your hard drive. Then it will install Windows XP into your hard drive =)
It will erase ALL data and whatever you have in your hard drive, so make sure you make a backup before you install.

I use a book written by Microsoft employees and Windows professionals called "windows XP Inside Out". It costs about fifty dollars, but it has instructions on upgrading, in detail, plus a whole lot of other stuff you would probably be interested in knowing about windows xp. I really found it very helpfull. It is all great to get some short answer here, but to have the type of details the book has is really helpfull to have right at hand when you are actually doing the upgrade. I learned a lot and am still learning. I bought my copy at the book store, at Barns and Noble. Just ask and somebody can get it for you. Good luck. What the first guy said is right, but it is still nice to have instructions.

You can buy the windows xp upgrade and install it. At least thats what I did. I have a windows me and I had a friend install xp on it for me. You need to have someone do it that knows what they are doing though. Hope this helps.

Buy the XP software and install it. It should uninstall the ME version upon instalation. ME and 98 are the most unstable operating systems available. I just recently went through this myself. You will be much happier with XP!!

boot up your computer, put the xp cd in. It should auto start, if not just open up your my computer and double click the cdrom drive.
Then follow the wizard
However lots of issues have been know to arrise in this upgrade, you may be better off to do a fresh install by putting the xp cd in and rebooting, the cd should boot, if not youll have to change that in your bios.
I believe ME used FAT by default and XP will use NTFS by default. NTFS is more secure and todays windows standard, so if you start fresh, create a new partition using NTFS.

Make sure you meet the system requirements then just put the disc into you CD ROM and follow the instructions. You should make a back up of your current system first in case there is any problems.

guess u should have no issues
- just skip format if prompted, else data loss
make sure pc is strong enuf 4 xp ... needs far more resources than me
try anyways and tell us results
