Use a pipe wrench, and turn it anticlockwise. Until it is all the way off. It shouldn't require much effort. Then using teflon tape or a pipe sealant, put the new one on. Turning clockwise, making sure, it's not over tight.and is lined up.
Be careful with the new one, not to mar the surfaces. Use a good rag or old towel, to prevent teeth marks on your new fixture.

I agree with the above answer except I have no idea what anti clockwise means. Your against clockwise? What, is clockwise bad. Make sure you talk to your kids about clockwise, otherwise there might be a bunch of clockwise gangs running around your neighborhood. And the next thing you know, you won't even be able to get the time of day.
