They are the same thing. The black stuff is a symbiote (being that connects itself to another being to a point that they both benefit) that latches onto Spider-Man. His suit consequently becomes black. Looks awesome, yea. But what we don't find out 'til later is that the symbiote is also trying to take over Spidey's mind. For more info, read the comic or visit wikipedia. (Or better yet, see the movie next summer. 'Nother yea.)

In the comic books the symbiote is a parasite from another world that Spider-Man got during the "Secret Wars" story line.
"Spider-Man encountered a symbiotic creature on the planet that enveloped him and expressed itself as a new black costume which produced its own web supply."
Once Spider-Man figured out what it was he had to fight to get it off of him usic the sonic sounds from church bells, after it left him it attached itself to Eddie Brock who then became Venom.

The black goo is part of venom who is going to be a villian in spider-man 3. THE SYMBIOTE COVERS HIM AND BECONMES A PART OF HIM AND FEEDS OFF OF HIM (EDDIE BROCK).
