consider why you are leaving in the first place, do you think your boss will treat you better or more fairly or do you think things will stay the same and that maybe he is only keeping you on and offering you better things until he can find someone to replace you.....go with your gut feeling.

Never accept the counter offer. If he's willing to pay you more to stay then he was cheating you in the past. He can't be trusted and you won't be trusted in the future if you stay.
Once thing bosses look for is if you can be bought. Well can you?

so you are thinking about staying with a company that screwed you and is only offering you a better position because you are leaving. they should have given you the new position a while back because obviously you deserved it.

i think that if you weren't satified with your salary, and you got offered something better and you enjoy your current job i would say with it... But if you are not happy were you work, i think its best u resign and go with a better opportunity.
