Yes you can, either buy a cross over cable, or make one!
The cheapest way and, not always the most appealing method
Clip the following wires in half.
Solid green
Solid orange
White with green stripe
White with orange stripe
Now cross these wires as follows:
Solid green on end one crosses with solid orange on end two.
Solid orange on end one crosses with solid green on end two.
White with green stripe on end one crosses with white with orange stripe on end two
White with orange stripe on end one crosses with white with green stripe on end two.
You can use this method to splice the wires instead of getting a crimper, but it is advised to solder the wires together, and cover well with electrical tape, or shrink-wrap.
This is a bit ghetto, but informative I suppose.
Run the Internet connection sharing wizard in windows.
Do keep in mind that unless you use the USB cable supplied with your modem "I do not recommend" you will need two Ethernet cards in the PC connected to the modem.
One for connecting to the modem and one to connect to the other computer.
Myself I prefer using a router, ICS is just not reliable enough for me!

Get a router, if the computers are in the same room, then all you have to do is plug the cable modem into the router, run one cable to the XP computer, run another to the ME computer, that's it. If they are not in the same room then you will have to seek out a WiFi router and adapter to use.
Yes, you could use the XP computer as a gateway for the other computer to access the Internet through BUT, it would have to be on for you to do so. With a router, that is not necessary. Best option is to get a router. Any old router will do, wired or wireless.

If you want to put internet on two machines, you will need to buy a router. They are very cheap, and simple to install. Just connect your modem to the router, then connect each computer to the router, turn it on, and it works. They are pretty inexpensive now a days, you can get one for less than 30 dollars.

Connect both by their lan cards and run the network connection wizard on the PC with win ME all u need is a lan cable if your modem is attached to your lan card attach it on the USB port and use the lan cards to connect the two PCs

you need two lan cards in the pc where you have internet connectivity. cable modem will be connected to one. use the other one to connect yto the other pc ..using a crossover cable. now you can go for inetrnet connection sharing or use a proxy server

Hi,
You can go for the option which I use. Its very fast for data transfers (between any two devices, be it either PCs or Laptops).
Go to any hardware vendor and get a Cross over ethernet cable.
Then configure Manual IP Addresses on your PC and Laptop and there you go. Share which ever folder you like. To open shared folders on the other PC/Laptop, you just need to Click Start -> Run -> \\IPADDRESSOFOTHERCOMPUTER. example "\\192.168.1.1"
This option is economical as well.

Steps:
(1) Get a Cross Over Cable and connect both the computers.
(2) Set the IP Address, say 192.168.1.1 and other one with 192.168.1.2. Put Subnet Mask (for a 192.x.x.x address) 255.255.255.0.
(3) you just need to Click Start -> Run -> \\IPADDRESSOFOTHERCOMPUTER. example "\\192.168.1.2"
