CEOs are generally hugely overcompensated. It's bad enough when a successful CEO makes hundreds of millions in stock options. However, the really vexing thing is when incompetent CEOs get huge bonuses even though by every measure they fail (dropping stock price, bad business decisions, etc.).
As to your second question, it's not fair, but that doesn't mean it's necessarily wrong. Say what you will about CEOs, but there are relatively few people who can do what they do, and their actions can have a huge effect on a company's success or failure. There are many many more people who can be teachers or firefighters. The laws of supply and demand mean that those people get paid less.

Well without them there would be no decisions so if their track record in decision making is good, we have them to thank for for us still having jobs. Whether they're worth the money is an issue of 'want the best, pay the best'. Of course this motto does not apply to asian countries who are receiving outsourced work.

This is quite unfair. Being the part of the capitalist society they work for the big stake holders and they themselves are the decision makers, as small stakeholders cannot come to the fore, as Board Directors, to rectify their decisions for better distribution.
