You will need a new motherboard, and most likely new memory to go along with it. Make sure the CPU that you buy matches the socket to the motherboard (ie: 478-pin, LGA775).

You have to Buy P4 Compatible Mother Board

Well you have a Pentium 3 and you want a Pentium 4. You will need to buy:
A Pentium 4
A motherboard for a Pentium 4
These can be found at Fry's Electronics (outpost.com) for $88 at the moment.
You may also need new memory. Figure out what type you have (read the holy BIOS book, or look at your computer's specs from the manufacturer, or use SySandra or something like it). Then make sure the new board has that memory slot at that speed. If not, buy new memory (512MB minimum)

First of all your computer’s mother board gotta be capable to upgrade the CPU from P3 to P4 so you have to make sure of that then what you have to buy is the CPU.

Motherboard, Power supply, RAM, CPU, Video Card, HDD (if your current one is too small, it pays to upgrade HDD anyway), possibly any other bits and pieces that you would like to upgrade eg. case etc.
