Do you have an anti-virus program running?

Remove your Virus Scan Software and Modem Software. If you have a external
modem disconnect it. Restart your computer. When WinXP fully loads up then
shutdown. Reconnect the modem and restart. If you have software or drivers
for it reinstall those too. If your Modem is working Ok then try
reinstalling your Virus Scan Software.

Another solution is to update your modem's firmware. I dont know what type of modem you have, but theres a firmware for modems that improves its quality and it fixes a lot of bugs on it. Let me know what modem you have.
