my current win xp is geniune & sp1.i wanna upgrade it to sp2.my sp2 cd is not geniune.if i upgrade it what will be the last win?geniune or not(my current has problems that with any kind of software couldn't be solved)

Service Pack 2 (if this is what you mean by sp2) is freely available for download from the microsoft update website: http://update.microsoft.com or you can order a CD of Service Pack 2. Both are genuine, and both are free

The notion of "genuine" does not apply for a servicepack. A service pack is just a collection of new or updated files. Microsoft's SP2 is using an engine that tried to detect your Windows Key and if this is determined to be pirated then it will just not install. So if you have genuine windows then you are ok. Now concerning the CD you mentioned. If this is a SP2 cd (just the SP2 files) then no problem. If however what you mean is a Windows XP SP2 CD then it gets a bit complicated. If this is the case I suggest you forget about the CD and download the service pack from Windows Update.

SP2 is a free download from Microsoft. If you have a cd containing a full installation of XP w/sp2 your original activation code should work just fine. You could always just re-install your original XP sp1 disc and update windows. SP2 should auto install.
