Check which programs you have running in the background by typing in MSCONFIG into the Run Command off of the Start button. Try to disable anything that you don't think is necessary, many programs like Quicktime, Adobe, Winamp and numerous others start on load up and do not need to.

You have done everything else necessary but I would suggest shutting down all of your Firewall Permissions and then re-establishing them one at a time to make sure there isn't a hidden Trojan that has access to the Internet and is causing your shutdown problems. I would download the trial of Webroot Spysweeper Software to let it look for RootKits in your system. It is one of the only Spyware programs on the planet that can identify a RootKit and remove it.

Maybe your anti-virus protection level is to high. That could affect your computers performance. Try lowering your protection level. Or you might need to defragment it. My anti-virus also makes my computer start up slowly. And shutting down slowly is because WinXP saves any changes you may did during your computer session. Mine does it to.
