It depends on where it is. If it's in your C:\Windows\System32 (or C:\WINNT\System32 ) folder it's fine. It's a necessary part of the Windows operating system that a lot of programs depend on. If it's located anywhere else on your computer there's a good chance it's a virus or spyware.

When you open Task Manager, you may see Rundll32.exe entry in the Processes tab. Or, you may also encounter a rundll32.exe error at shutdown. Rundll32.exe is a valid system file which executes a DLL.
