If you want to move from P2 to P3....just buy a new PC.
If you dont have too much of work on the PC, I suggest you take
AMD Athlon processor, its more reliable.

Do you need to change your motherboard? Absolutely. Pentium III and Pentium 4 CPU's use different size socket connectors. Your Pentium II uses the very old SLOT connector.
Realize that there are probably many components in your PC that are outdated - the video card, RAM, hard drive, etc. Just changing the mobo and adding a faster CPU is going to do wonders, but other items in your system can become the new bottleneck.
it's probably best to start from scratch at this point.
AMD Athlon 64 CPU's are good alternatives to the P4 as well (not sure what "jast" is saying below).

It is not possible to change the CPU for a simple reason: They have different pins and they don't fit. In addition, older motherboards do not support P3 or P4. I don't know if companies in US are allowed to ship certain technological products overseas, but it's usually cost more overseas. Check out www.outpost.com to get an idea how much they cost.

Yes. P4s won't fit in P2s or P3s sockets. :D this also means that you have to change other peripherals not compatible with the motherboard. i.e. Display cards connected to ISA slots. There are no ISA slots in a P4 motherboard. :D

Yes, u need to change Motherboard, Processor, RAM and cabinet with SMPS. You can use the harddisk drive, CD \ DVD Drive, Floppy drive, Monitor, keyboard and Mouse from your old PC.

Read the documentation/manual for your motherboard to see what it's compatible with. However, its more than likely the socket on your motherboard won't be compatible and you will need a new board.

you have to change th ewhole mother board if you want to move from p2or3 to 4
there are some exceptions if you want to replace it with AMD processers which is not recomended
