If you want to create an entrepreneurial company, I'd start in Utah. Believe it or not, it's got 4 of the 6 hot spots by one recent survey for the whole United States. They were looking at the number of startups, their overall success, employment created, how long they stay in business, and financial indicators of success.
The reason is that Utah is the most literate state in the union, that the people are willing to work hard for relatively low pay, and that there are incredible innovation centers around the universities.
If you are looking to create a company that's going to need some serious equity capital, then you're going to want to start within 50 miles of the venture capitalists (Silicon Valley, Boston, or New York). Many Utah companies get exported to Silicon Valley once the big money is ready for them. (Bad for Utah, good for innovation).
As far as tax benefits and corporate protection go, Deleware is still the fore-runner with Nevada as a close second and Florida and other places competing somewhere in the mix.

Any state will do. It desn't matter.
Also, IF you're going to Incorporate - you can incorporate in any state - but ask your lawyer about incorporating your business in Nevada. Nevada state offers slight advantages to corporations than other states.
